BOSS VISIONS GRAPHIC DESIGN AGREEMENT

1. Parties
This Graphic Design Agreement ("Agreement")
is between Serafinaa Vee LLC, DBA Boss Visions
("Boss Visions," "Designer," "we," "us," or "our")
and the client completing this Logo Design
Questionnaire ("Client," "you," or "your").
Boss Visions is an online business operating
from Connecticut. Business email:
support@thebossvisions.com.
2. Scope of Services
Boss Visions will provide the graphic design
services described in this Agreement, invoice,
proposal, order, or written project scope.
Services may include logos, flyers, business
cards, YouTube graphics, ebook covers, menus,
banners, social media graphics, templates,
and other agreed-upon design work. Any work
outside the agreed scope may require an
additional fee.
3. Payment
Payment is due up front unless Boss Visions
agrees otherwise in writing. Payment may be
made through the Boss Visions website or
through Cash App when agreed upon. Work will
begin after payment and all required project
information and materials have been received.
4. Client Materials and Responsibilities
Client is responsible for providing accurate
text, names, prices, contact information,
logos, photographs, brand materials, links,
and other content required for the project.
Client represents that they have the necessary
rights and permissions to use materials supplied
to Boss Visions. Client is responsible for
reviewing the accuracy of all supplied
information before final approval.
5. Turnaround Time
Standard graphic design turnaround is up to
24 hours, although some projects may be
completed sooner depending on complexity
and current workload. Turnaround begins
once payment and all required information
and materials have been received. Delays
caused by missing information, client
revisions, late responses, or circumstances
outside Boss Visions' reasonable control
may extend the turnaround time.
6. Rush Orders
Rush service may be available depending on
Boss Visions' workload. Rush fees are an
additional $20–$50, depending on the service
and urgency. Rush work begins after payment
and required project information have been
received. A rush fee does not guarantee
a specific completion time unless Boss
Visions confirms the timing in writing.
7. Revisions
The project includes up to two small revisions.
A small revision is a limited adjustment to
the existing design direction, such as minor
text, placement, sizing, or similar changes.
A major revision, substantial change in
direction, or complete redesign/redo is not
considered a small revision and may be
charged the full applicable service price
again. Additional small revisions may
require an additional fee based on
the work requested.
8. Approval and Completion
Client must provide approval in writing by
email or another written message approved
by Boss Visions. Once Client provides written
approval, the design is considered approved
and the service is deemed completed. No
additional revisions are included after final
approval unless Boss Visions agrees to provide
additional work for an additional fee.
Client is responsible for checking spelling,
names, dates, prices, contact information,
links, and other details before approval.
9. Final Files and Editable Files
After full payment, Boss Visions will provide
the final agreed-upon deliverables. Editable
files are included for applicable graphic
design services through Canva unless otherwise
stated in writing. Client is responsible
for maintaining any Canva account or Canva
Pro subscription needed to access certain
features, fonts, elements, or assets.
Third-party materials remain subject to
the rights and licenses of their
respective owners.
10. Ownership and Use
After full payment has been received, ownership
of the final paid deliverable transfers to
Client, subject to third-party rights and
licenses. If a design is delivered before
payment and payment is not made, Boss Visions
retains ownership of the unpaid work.
Client may not use, publish, reproduce,
distribute, modify, or otherwise exploit
unpaid work without written permission
from Boss Visions.
11. Portfolio and Promotional Use
Client agrees that Boss Visions may display
completed work on its website, social media
platforms, portfolio, and promotional
materials at no additional charge for the
purpose of showcasing work and promoting
Boss Visions services. Client may request
that a specific project remain private for
a specified period. Any approved privacy
period must be confirmed in writing
by Boss Visions.
12. Cancellations and Refunds
Boss Visions maintains a no-refund policy,
except where otherwise stated in the General
Terms & Conditions or required by applicable
law. If Client cancels after payment, eligible
unused amounts may be issued as a business
credit rather than a cash refund. If work
has already been partially completed, Boss
Visions may retain payment for work completed.
If Boss Visions cancels a paid project before
completion, the applicable payment will be
refunded. Website payment refunds may take
approximately 5–7 business days to process;
Cash App refunds generally take approximately
24–48 hours after issuance.
13. Third-Party Materials and Platforms
Boss Visions may use or work with third-party
services such as Canva, stock-content providers,
printing companies, file-transfer services,
or other platforms. Boss Visions is not
responsible for third-party outages, price
changes, restrictions, licensing changes,
account limitations, or technical failures.
Any third-party subscription or fee required
by Client is Client's responsibility unless
specifically included in the project price.
14. Confidentiality
Boss Visions will treat confidential Client
business information received in connection
with the project as confidential and will
use it only as reasonably necessary to provide
the requested services, except where disclosure
is required by law or information is already
publicly available.
15. Client Approval and Responsibility
Client understands that Boss Visions is
relying on Client's final review and approval.
Client is responsible for ensuring that the
final design is accurate and appropriate for
its intended use. Boss Visions is not
responsible for errors that Client approves
in writing.
16. No Guarantee of Business Results
Graphic design is a creative service.
Boss Visions does not guarantee that a
design will produce specific sales,
revenue, followers, views, engagement,
leads, or other business results.
17. General Terms
The Boss Visions General Terms & Conditions
are incorporated into this Agreement.
If this Agreement contains a project-specific
provision that conflicts with the General
Terms & Conditions, the project-specific
provision controls for this project.
18. Governing Law
This Agreement is intended to be governed
by applicable Connecticut law, except
where applicable law requires otherwise.
