BOSS VISIONS WEBSITE SERVICE AGREEMENT

Agreement Version: Website-Service-Agreement-v1

1. Parties

This Website Service Agreement (“Agreement”) is between Serafinaa Vee LLC, DBA Boss Visions (“Boss Visions,” “Designer,” “we,” “us,” or “our”) and the client completing this Website Services Intake Form (“Client,” “you,” or “your”). Boss Visions is an online business operating from Connecticut. Business email: support@thebossvisions.com.

2. Scope of Services

Boss Visions will provide the website services described in this Agreement, invoice, proposal, order, or written project scope. Services may include website creation, website redesigns, Shopify website creation, landing pages, website page setup, layout and design, navigation, basic website configuration, and other agreed-upon website work. Any work outside the agreed scope may require an additional fee.

3. Website Creation and Redesign

Website creation includes the design and setup of the agreed website pages and features based on the Client’s selected service. Website redesign services apply to the existing website elements specifically included in the project scope. A redesign does not automatically include rebuilding every existing feature, app, integration, or function unless specifically stated in writing.

4. Landing Pages

Landing page services include up to 5 pages unless otherwise stated in the Client’s purchased service or written project scope. Additional pages, advanced functionality, custom coding, or substantial changes outside the agreed scope may require an additional fee.

5. Payment

All payments are due and paid in full upfront before work begins. Boss Visions will not begin work until full payment and all required project information, content, materials, and access have been received. Any platform, app, domain, hosting, theme, subscription, or other third-party fee is the Client’s responsibility unless specifically included in the project price.

6. Client Materials and Responsibilities

Client is responsible for providing accurate business information, text, names, prices, contact information, logos, photographs, brand materials, links, policies, product or service information, and other content required for the project. Client represents that they have the necessary rights and permissions to use materials supplied to Boss Visions. Client is responsible for reviewing the accuracy of all supplied information before final approval.

7. Website Access and Account Information

Client may be required to provide website or platform access, including collaborator, staff, administrator, or other authorized access, when needed to complete the service. If Client provides login credentials, Boss Visions will use them only as reasonably necessary to perform the purchased services. Client remains responsible for ownership and control of its domain, website/platform account, email account, payment account, and other third-party accounts.

8. Turnaround Time

Website projects may take up to 30 days to complete. The turnaround period begins once full payment and all required project information, content, materials, and access have been received. Projects may be completed sooner depending on complexity and current workload. Delays caused by missing information, Client revisions, late responses, platform issues, third-party services, or circumstances outside Boss Visions’ reasonable control may extend the turnaround time.

9. Revisions

The number of included revisions, if any, will be stated in the purchased website service or written project scope. A revision is a reasonable adjustment to the existing agreed design or content within the original scope. A new page, new feature, substantial change in direction, redesign, custom functionality, or other work outside the original scope may require an additional fee.

10. Approval and Completion

Client must provide approval in writing by email, message, form submission, or another written method approved by Boss Visions. Once Client provides final written approval, the website work covered by the approved scope is considered completed. No additional revisions are included after final approval unless Boss Visions agrees to provide additional work for an additional fee. Client is responsible for checking spelling, names, dates, prices, contact information, links, policies, and other details before approval.

11. Website Content

Client is responsible for supplying the website text and other required content. Boss Visions may place or format Client-provided content as part of the website service, but Client remains responsible for the accuracy and legality of that content.

12. Third-Party Materials and Platforms

Boss Visions may use or work with third-party services such as Shopify, website apps, themes, fonts, stock-content providers, payment processors, domain registrars, hosting providers, file-transfer services, or other platforms. Boss Visions is not responsible for third-party outages, price changes, restrictions, licensing changes, account limitations, policy changes, feature changes, or technical failures. Any third-party subscription or fee required by Client is Client’s responsibility unless specifically included in the project price.

13. Domain, Hosting, Apps and Subscriptions

Client is responsible for maintaining required domain, hosting, Shopify, app, theme, email, payment-processing, and other third-party subscriptions unless ongoing management is specifically included in the purchased service. Boss Visions does not guarantee continued compatibility with future changes made by third-party platforms.

14. Ownership and Use

After full payment has been received, ownership of the final paid website deliverables specifically created for Client transfers to Client, subject to third-party rights, platform terms, and applicable licenses. Boss Visions retains ownership of its pre-existing templates, systems, methods, reusable materials, tools, processes, and general know-how. Third-party themes, apps, fonts, images, code, and other licensed materials remain subject to their respective licenses.

15. Unpaid Work

Because all payments are due upfront, if a Client has not completed the required payment, Boss Visions will not be required to begin or deliver the project. If additional balances are approved for separate out-of-scope work, ownership and use of that work will remain with Boss Visions until the applicable amount is paid in full.

16. Portfolio and Promotional Use

Client agrees that Boss Visions may display completed website work, screenshots, designs, and Client’s business name or logo on its website, social media platforms, portfolio, and promotional materials for the purpose of showcasing work and promoting Boss Visions services. Client may request that a specific project remain private for a specified period. Any approved privacy period must be confirmed in writing by Boss Visions.

17. Cancellations and Refunds

Boss Visions maintains a no-refund policy, except where otherwise stated in the General Terms & Conditions or required by applicable law. If Client cancels after payment, eligible unused amounts may be issued as a business credit rather than a cash refund. If work has already been partially completed, Boss Visions may retain payment for work completed. If Boss Visions cancels a paid project before completion, the applicable payment will be refunded.

18. Maintenance and Future Updates

Website creation or redesign does not automatically include ongoing maintenance. Future updates, new pages, content changes, redesigns, troubleshooting, app changes, platform updates, or other work after completion may require a separate purchase or maintenance agreement unless expressly included in the Client’s service.

19. Confidentiality

Boss Visions will treat confidential Client business information received in connection with the project as confidential and will use it only as reasonably necessary to provide the requested services, except where disclosure is required by law or information is already publicly available.

20. Client Approval and Responsibility

Client understands that Boss Visions is relying on Client’s final review and approval. Client is responsible for ensuring that the final website content and information are accurate and appropriate for its intended use. Boss Visions is not responsible for errors, inaccurate information, broken links, or other content that Client approves in writing.

21. Website Performance and Business Results

Website development is a creative and technical service. Boss Visions does not guarantee specific sales, revenue, followers, views, engagement, leads, search-engine rankings, traffic, conversions, or other business results. Boss Visions also does not guarantee uninterrupted website availability or continued functionality of third-party platforms.

22. Website Security and Account Restrictions

Boss Visions will use reasonable care when working within Client’s website accounts. However, Boss Visions is not responsible for account restrictions, suspensions, security issues, unauthorized activity, platform policy enforcement, or other actions taken by third-party platforms, except to the extent caused by Boss Visions’ own wrongful conduct.

23. General Terms

The Boss Visions General Terms & Conditions are incorporated into this Agreement. If this Agreement contains a project-specific provision that conflicts with the General Terms & Conditions, the project-specific provision controls for this project.

24. Limitation of Liability

To the fullest extent permitted by applicable law, Boss Visions will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from the services. To the fullest extent permitted by law, Boss Visions’ aggregate liability for a project will not exceed the amount actually paid to Boss Visions for the specific services giving rise to the claim. Nothing in this Agreement limits liability that cannot legally be limited.

25. Indemnification

To the extent permitted by law, Client agrees to defend, indemnify, and hold harmless Boss Visions and its owner from third-party claims arising from Client-supplied content, Client’s unlawful use of the website, Client’s violation of third-party rights, or Client’s breach of this Agreement, except to the extent caused by Boss Visions’ own unlawful conduct or an obligation that cannot legally be shifted to Client.

26. Governing Law

This Agreement is intended to be governed by applicable Connecticut law, except where applicable law requires otherwise.

This agreement incorporates the Boss Visions General Terms & Conditions. Please review those terms before accepting.
